二、包装及运输： Package and Delivery

PLYWOOD CASE. Package meets the requirement for shipment, Part A will be in charge of the delivery, and the freight will be paid by Part A.
木箱包装，符合运输要求。
Part B is in charge for lifting machinery after arrival at factory. If Part B asks Part A to do the lifting and moving, Part A will charge the extra cost accordingly, and Part B should agree Part A take no responsible for any accident for this.
甲方负责将货物运输到乙方指定工厂地址，乙方负责卸货并将设备搬运至工厂内部。如果乙方委托甲方进行卸货和设备搬运，则甲方需收取相关额外费用，并且约定甲方不承担任何意外责任。

三、货款结算方式\期限及交货地点：Payment Term and Delivery Date

5% deposit pay within 5 days of this contract signed;
85% before shipment
10% after installation.

VAT invoice will be issued to buyer within 10 days received balance payment from the buyer.

五、质量及保修：Quality and Maintenance

产品质量符合原厂技术标准，符合原厂配置，设备安装后一年免费质保。

The products are all qualified, and can meet the technology standard and original configuration. Guarantee for 1 year after installation.

退换货:
Return or change the goods：

若乙方在收货时发现货物已损坏或有缺陷，需在五日内通知甲方检查确认或进行更换，否则视为乙方接受此货物。
If Part B find the goods broken or defaults when arrival, they must inform Part A to check within 5 days, otherwise Part A consider Part B accept the goods.

如无法律规定及双方约定的情形，售出货物不得退换, 也不得拒收货物，否则，视为严重违约行为。
Part A does not change goods or receive returned goods if no law requirement situation happened. And if customer reject the goods, it will be considered broken the agreement.

设备验收：设备安装调试完成后7日内乙方需安排验收，乙方必须在安装调试时提供甲方调试使用的足够的书帖，帮助甲方进行设备调试运行，并在设备安装调试完毕后30天内对设备进行验收，签署验收报告；如有问题，需向甲方出具书面报告。如果乙方在安装完成后30天内未能出具书面报告，则视为验收通过。
For acceptance, after installation, part B should do acceptance. When some problems, Part B should report to Part A in written. Otherwise, the machine passes acceptance.

六、违约责任：Duty for Breaking the Contract

甲乙双方应严格信守合同，不得违约，如有违约，违约方应向守约方赔付因违约方违约所造成的经济损失（其中包含因延迟付款甲方的利息损失，付款违约金以同期银行贷款利率四倍计）；Both sides should comply with the contract, if any party break the contract, they should pay the loss of another party. Payment delay loss is 4 times of bank loan rate at the due date.

七、争议解决方式：Dispute：

凡因本合同的效力、履行、解释等发生的一切争议，双方均应首先友好协商解决，协商不成时，双方均可依据《中华人民共和国合同法》向甲方所在地人民法院起诉。

If both sides could not reach agreement, both sides can sue in People’s Court in Part A’s location based on PRC Contract Law. Any dispute, both sides should negotiate friendly

八、生效及其他Effective and Others

本合同自甲乙双方签字或盖章之时生效，共一式贰份，甲乙双方各执壹份，各份具有同等法律效力！（注：与本合同有关的传真件、电子邮件为本合同的有效组成部分．）

After both sides signed and chopped, the contract will be effective. Two copies, each side takes one. (Notes: fax, and email related to the contract are considered part of the contract.)
